- Introduction: Welcome to Prep Online (the “Centre”). These terms and conditions govern your use of our services, including the warehousing, packaging, and distribution of your goods. By using our services, you agree to be bound by these terms and conditions.
- Services: The Centre will provide warehousing, packaging, and distribution services as agreed upon by the parties. All services will be provided with reasonable care and skill.
- Fees and Payment: Fees for services will be agreed upon by the parties and outlined in the Service Agreement. Payment terms will be specified in the Service Agreement and may vary based on the services provided.
- Client Obligations: The client must provide accurate information about their goods, including the quantity, description, and value of each item. The client must also comply with all applicable laws and regulations related to their goods.
- Intellectual Property: The client represents and warrants that they have the right to use any intellectual property related to their goods. The client will indemnify and hold harmless the Centre from any claims related to the infringement of intellectual property rights.
- Liability: The Centre will not be liable for any loss, damage, or delay caused by circumstances beyond its reasonable control. The Centre’s liability will be limited to the value of the services provided.
- Confidentiality The parties agree to keep all confidential information received from the other party confidential and not to disclose such information to any third party, except as required by law.
- Termination: Either party may terminate the Service Agreement upon written notice to the other party. The Centre may terminate the Service Agreement immediately if the client breaches any of these terms and conditions.
- Governing Law and Jurisdiction: These terms and conditions will be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms and conditions will be subject to the exclusive jurisdiction of the courts of England and Wales.
- Amendments: The Centre may amend these terms and conditions at any time by providing notice to the client. The client’s continued use of the Centre’s services following any amendment will constitute acceptance of the amended terms and conditions.
